By accessing, browsing, registering on, or otherwise using the NotPanel website, platform, application programming interface (API), or any related services (collectively referred to as the "Service" or "Platform"), you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service ("Terms"), our Privacy Policy, and our Refund Policy, all of which are incorporated herein by reference. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and NotPanel ("we," "us," or "our").
We reserve the right, at our sole and absolute discretion, to modify, amend, supplement, or replace any part of these Terms at any time and without prior notice to you. It is your responsibility to review these Terms periodically for changes. Any modifications shall become effective immediately upon posting on the Platform. Your continued access to or use of the Service following the posting of any changes to these Terms constitutes your irrevocable acceptance of and agreement to such modifications. If at any time you do not agree to any portion of these Terms, whether current or as modified, you must immediately discontinue all use of the Service, terminate your account, and refrain from accessing the Platform in any capacity whatsoever. This modification right and any custom terms are subject to the fixed automatic-refund rules displayed on our legal pages and cannot remove them for an eligible order.
By creating an account on NotPanel, you represent and warrant that you have the legal capacity to enter into this agreement, that you are at least eighteen (18) years of age or the age of majority in your jurisdiction, whichever is greater, and that all registration information you provide is truthful, accurate, and complete. You further acknowledge that these Terms apply to all users of the Service, including without limitation users who are browsers, vendors, customers, merchants, resellers, contributors of content, and API consumers.
NotPanel operates a unified marketplace that combines directly operated fulfillment systems with independent fulfillment partners. We do not own, operate, manage, or control the social media platforms referenced on our website. Those platforms are the property of their respective owners and are not affiliated with, endorsed by, or connected to NotPanel.
The operational allocation used for a particular service is commercially confidential and may change without altering the customer-facing service contract. Service delivery may depend on directly operated systems, independent partners, and the relevant social media platform's availability and rules.
The quality, speed, accuracy, retention rate, and overall performance of any service you purchase through NotPanel may depend on our systems, independent partners, and the policies, algorithms, terms of service, and technical infrastructure of the respective social media platforms. Disclaimers about outcomes or third-party actions do not override the automatic order refunds expressly stated in our Refund Policy.
You expressly understand, acknowledge, and agree that NotPanel does not and cannot guarantee any specific results, outcomes, performance metrics, or benefits from the use of any services purchased through our Platform. The nature of social media marketing services is inherently unpredictable, variable, and subject to numerous external factors entirely beyond the control of NotPanel, including but not limited to changes in social media platform algorithms, policies, terms of service, community guidelines, content moderation practices, artificial intelligence detection systems, and technical infrastructure.
Without limiting the generality of the foregoing, NotPanel specifically does NOT guarantee, warrant, or make any representations regarding:
Results may vary significantly based on numerous factors including, without limitation, social media platform algorithms and their frequent changes, content quality and relevance, account history and standing, audience demographics and behavior, timing and frequency of content posting, competitive landscape, seasonal trends, and the performance and availability of the selected fulfillment system or, where applicable, independent Providers. Social media platforms may, at any time, for any reason, and without notice, remove, reduce, restrict, hide, suppress, or otherwise negatively impact any engagement, followers, content, or account features that were delivered or enhanced through our services. NotPanel bears absolutely no responsibility, liability, or obligation in connection with any such actions taken by social media platforms.
In order to access and use certain features of the Service, you must register for an account by providing accurate, current, and complete information as prompted by the registration form. You agree to maintain and promptly update your registration data to keep it accurate, current, and complete at all times. Failure to do so constitutes a breach of these Terms and may result in account restriction or termination. Account enforcement does not erase an automatic order refund expressly guaranteed by our Refund Policy.
You are solely and exclusively responsible for safeguarding the confidentiality of your account credentials, including your password, email address associated with the account, and any API keys issued to your account. You agree to immediately notify NotPanel of any unauthorized use of your account, any breach of security, or any other compromise of your account credentials. You are fully responsible for all activities, actions, orders, and transactions that occur under your account, regardless of whether such activities were authorized by you. NotPanel will not be liable for any loss, damage, expense, or liability arising from your failure to comply with this section or from unauthorized access to your account.
Each individual is permitted to maintain only one (1) account on the Platform. The creation of multiple accounts by the same individual, entity, or related parties for the purpose of circumventing account restrictions, bans, suspensions, rate limits, promotional limitations, or any other platform rules is strictly prohibited and may result in the immediate and permanent termination of all associated accounts, cancellation of pending fulfillment, and loss of discretionary promotional benefits. Automatic order refunds expressly guaranteed by our Refund Policy remain governed by that Policy. NotPanel reserves the right to use technical means, including but not limited to IP address tracking, browser fingerprinting, and payment method analysis, to detect and prevent the creation of multiple accounts.
All prices, fees, charges, and monetary values displayed on the Platform are denominated in United States Dollars (USD) unless explicitly stated otherwise. All payments and deposits made to your NotPanel account are processed through approved third-party payment processors and gateways. NotPanel does not directly handle, store, or process any credit card numbers, bank account details, or other sensitive financial information on its servers.
Account deposits and funds added to your NotPanel wallet balance are considered final and non-refundable except as specifically described in our Refund Policy, which is incorporated herein by reference. Once funds have been deposited into your account, they may only be used to purchase services through the Platform. No interest, returns, dividends, or any other form of financial gain shall accrue on any account balance maintained on the Platform, regardless of the duration for which such balance is maintained.
NotPanel reserves the absolute and unilateral right to change, modify, increase, or decrease the prices of any services at any time and without prior notice. The price applicable to your order shall be the price displayed at the time the order is placed and the funds are deducted from your account balance. Price changes shall not retroactively affect orders that have already been placed and paid for.
Chargebacks and Payment Disputes: Filing a chargeback, payment dispute, reversal, or claim with your bank, credit card company, payment processor, or any other financial institution without first contacting NotPanel support and attempting to resolve the issue directly with us shall constitute a material breach of these Terms and may result in account restriction or termination, cancellation of pending fulfillment, withholding of discretionary promotional benefits, and potential legal action to recover the disputed amount plus all associated fees, costs, and expenses, including but not limited to chargeback fees, administrative costs, and reasonable attorneys' fees. We maintain comprehensive and detailed transaction records, payment logs, order histories, and delivery confirmations for all transactions processed through our Platform. These remedies do not erase automatic order refunds required by our Refund Policy, without limiting lawful recovery of genuinely disputed or fraudulent funds.
When you place an order through the Platform, our system reserves the applicable charge and prepares the order for its selected fulfillment route. By placing an order, you authorize NotPanel to deduct the displayed service fee from your account balance and to transmit the necessary order details, including the social media link you provide, to the selected fulfillment system. Once an order has been submitted for fulfillment, NotPanel may have limited or no ability to modify, cancel, pause, or recall it.
All delivery times, estimated completion times, average processing times, and similar timeframes displayed on the Platform are provided as estimates only and do NOT constitute a guarantee, warranty, promise, or binding commitment of any kind. Actual delivery times may vary significantly and may be affected by numerous factors beyond the control of NotPanel, including but not limited to: fulfillment-system or independent-Provider capacity, workload, and queue length; social media platform maintenance windows, outages, API rate limits, and technical issues; high demand periods, seasonal traffic surges, and global events; network latency, connectivity issues, and infrastructure problems; changes to fulfillment systems, partner APIs, or service capabilities.
NotPanel is not responsible, liable, or accountable for any delays, interruptions, slowdowns, or failures in the delivery of services that are caused by or attributable to any of the foregoing factors or any other factors beyond our reasonable control. Ordinary one-time orders placed through the dashboard or API may be cancelled for a full refund during the fifteen-second pre-submission window immediately after placement. Once that window closes and fulfillment begins, the order cannot ordinarily be cancelled, modified, or reversed. If an ordinary order remains unresolved in a nonterminal state seven days after its original creation time, the full original charge is returned to your NotPanel Wallet under our Refund Policy, even if delivery occurs later. You must provide valid, publicly accessible, correctly formatted links for all orders. Orders placed with incorrect, invalid, private, restricted, or inaccessible links may not be fulfilled and may not qualify for a discretionary remedy after fulfillment begins. This does not override an automatic refund expressly guaranteed by our Refund Policy. Failed orders receive a full automatic Wallet refund, and partial orders receive an automatic Wallet refund for the undelivered portion under that Policy.
You expressly acknowledge, understand, and voluntarily accept ALL risks associated with purchasing, using, or benefiting from social media marketing services through NotPanel or any similar platform. The use of third-party social media marketing services may violate the terms of service, community guidelines, acceptable use policies, or other rules and regulations of various social media platforms. You are solely responsible for reviewing, understanding, and complying with the terms of service and policies of any social media platform on which you use our services.
NotPanel is absolutely and unequivocally NOT responsible, liable, or accountable for any actions, measures, sanctions, penalties, or consequences imposed by any social media platform upon your accounts, content, or online presence as a direct or indirect result of your use of our services, including but not limited to:
You use our services entirely at your own risk. By using NotPanel, you irrevocably and unconditionally confirm that you fully understand and voluntarily accept all risks described herein and agree to hold NotPanel, its owners, operators, employees, contractors, affiliates, and partners completely harmless from any and all consequences, damages, losses, or liabilities arising from or related to your use of our services. You waive any and all claims against NotPanel related to actions taken by social media platforms in response to the use of our services on your accounts.
Certain services available on our Platform are marked as supporting refill requests. This support is service-specific and is not universal across the catalog. The service must remain active and refill-enabled when the request is submitted, and the order must be completed or partially completed. The catalog shows current refill eligibility; after submission, the order details or API show the request's current status. NotPanel does not publish or promise a fixed refill window or duration.
A refill may be unavailable or rejected after review if the target account or content is private, inaccessible, deleted, suspended, deactivated, renamed, or transferred; if engagement was manually removed; if the current service is inactive, discontinued, or no longer refill-enabled; or if platform changes or other conditions prevent fulfillment. A refill-support label permits a request but does not guarantee acceptance or completion. If the applicable fulfillment path cannot complete a refill, NotPanel may, only after review and at its sole discretion, try an alternative route or issue a partial Wallet credit or refund for the confirmed dropped quantity. These discretionary drop-related remedies do not replace or restrict the automatic order refunds stated in the Refund Policy.
NotPanel may provide you with access to an application programming interface (API) that allows you to programmatically interact with our Platform, place orders, check order statuses, manage webhooks, and access other functionality. Your API key is confidential and must not be shared, disclosed, published, or otherwise made available to any unauthorized third party. You are fully and exclusively responsible for all orders, actions, and transactions initiated through your API key, regardless of whether such actions were authorized by you.
You agree to comply with all applicable rate limits, usage quotas, and technical restrictions imposed by NotPanel on API access. Rate limits may be changed, reduced, or increased at any time at the sole discretion of NotPanel. Exceeding rate limits, engaging in automated scraping or data collection beyond the scope of the provided API, attempting to reverse engineer, decompile, or otherwise derive the source code of the API, or using the API in any manner that is harmful, abusive, or disruptive to the Platform or its infrastructure may result in immediate revocation of your API key, suspension or termination of your account, and loss of discretionary promotional benefits. These enforcement measures do not erase an automatic order refund expressly guaranteed by our Refund Policy.
You agree that you shall not use the Service for any purpose that is unlawful, prohibited by these Terms, or in any manner that could damage, disable, overburden, or impair the Platform or interfere with any other party's use of the Service. Without limiting the generality of the foregoing, you specifically agree NOT to:
All content, materials, features, functionality, text, graphics, logos, icons, images, audio clips, video clips, data compilations, software, source code, object code, design elements, user interface designs, page layouts, and the overall look and feel of the Platform (collectively, "Platform Content") are the exclusive property of NotPanel or its licensors and are protected by applicable intellectual property laws, including copyright, trademark, patent, and trade secret laws. The compilation of all content on the Platform is the exclusive property of NotPanel and is protected by applicable copyright laws.
You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, transmit, sell, license, or otherwise exploit any Platform Content without the prior written consent of NotPanel, except as expressly permitted by these Terms or as necessary for your personal, non-commercial use of the Service in accordance with these Terms.
As a specific exception to the general restrictions on Platform Content, NotPanel licenses only the aggregate numerical figures and table values published on the NotPanel SMM Price Index and in its related official data downloads under the CC BY 4.0 license.
You may copy, redistribute, and adapt those licensed figures for any purpose, including commercially, provided you give appropriate credit to NotPanel, link to the source Price Index page and the license, and indicate whether you made changes.
This grant does not cover the page design, software, NotPanel logos, trademarks or trade dress, third-party trademarks or materials, service names or descriptions, or any other Platform Content. Use of the NotPanel name solely as required for attribution does not grant any broader trademark rights. This fixed grant controls over any conflicting general restriction or custom terms.
THE SERVICE, INCLUDING ALL CONTENT, FEATURES, FUNCTIONALITY, AND SERVICES PROVIDED THROUGH THE PLATFORM, IS PROVIDED ON AN "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" BASIS WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED. To the fullest extent permitted by applicable law, NotPanel hereby disclaims all warranties, whether express, implied, statutory, or otherwise, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, completeness, timeliness, or any warranty arising from course of dealing, course of performance, or usage of trade.
NotPanel does not warrant, represent, or guarantee that the Service will be uninterrupted, timely, secure, error-free, or free from viruses, malware, or other harmful components. NotPanel does not warrant that the results obtained from the use of the Service will be accurate, reliable, or meet your expectations or requirements. Any content, material, information, or data downloaded from or otherwise obtained through the use of the Service is accessed at your own discretion and risk, and you shall be solely responsible for any damage to your computer system, device, or loss of data that results from the download or use of any such content or material.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NOTPANEL, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, PARTNERS, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, REVENUE, INCOME, DATA, GOODWILL, REPUTATION, BUSINESS OPPORTUNITIES, USE, OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (C) ANY CONTENT OBTAINED FROM THE SERVICE; (D) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (E) ANY ACTIONS TAKEN BY SOCIAL MEDIA PLATFORMS AGAINST YOUR ACCOUNTS; (F) ANY FAILURES, ERRORS, OR DEFICIENCIES OF THIRD-PARTY PROVIDERS; OR (G) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
Notwithstanding any damages that you might incur, the entire aggregate liability of NotPanel and any of its suppliers or providers under any provision of these Terms, and your exclusive remedy for all of the foregoing, shall be limited to the amount actually paid by you to NotPanel for the specific service giving rise to such claim during the twelve (12) months immediately preceding the event giving rise to such claim, or ten United States Dollars ($10.00), whichever is greater.
You agree to defend, indemnify, and hold harmless NotPanel, its parent companies, subsidiaries, affiliates, partners, officers, directors, agents, contractors, licensors, service providers, subcontractors, suppliers, interns, and employees from and against any and all claims, demands, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees, court costs, expert witness fees, and costs of investigation) arising from or related to: (a) your access to and use of the Service; (b) your breach or alleged breach of any term, condition, representation, or warranty set forth in these Terms; (c) your violation of any applicable law, regulation, rule, or rights of any third party; (d) any content you submit, post, transmit, or otherwise make available through the Service; (e) your social media accounts, activity, content, or any dispute between you and any social media platform; (f) any damage caused by your actions or inactions to NotPanel, its users, or any third party. This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service.
NotPanel reserves the absolute and unilateral right to suspend, restrict, limit, or permanently terminate your account and your access to the Service at any time, for any reason or for no reason, with or without prior notice, and without liability to you. Without limiting the generality of the foregoing, grounds for account suspension or termination include, but are not limited to: violation of any provision of these Terms; fraudulent, abusive, or suspicious activity; filing chargebacks or payment disputes without first contacting NotPanel support; receiving a legal request, subpoena, or court order requiring action; any conduct that NotPanel, in its sole judgment, determines to be harmful, disruptive, or detrimental to the Platform, its users, or its business interests.
Upon suspension or termination, pending fulfillment may be cancelled and account access may be revoked. NotPanel may withhold discretionary goodwill credits, promotional funds, referral benefits, or other non-guaranteed remedies following review where the account was involved in fraud, abuse, unauthorized payment methods, chargeback violations, or another material breach. These enforcement measures do not erase the fifteen-second cancellation refund, automatic failed- or partial-order refunds, or the seven-day unresolved-order refund required by our Refund Policy. You remain liable for lawful outstanding obligations arising from use of the Service, including genuinely disputed or fraudulent funds.
NotPanel shall not be liable for any failure to perform, delay in performance, or interruption of service resulting directly or indirectly from acts of God, natural disasters, fires, floods, earthquakes, hurricanes, epidemics, pandemics, public health emergencies, wars, armed conflicts, military operations, terrorist attacks, civil unrest, riots, insurrections, embargoes, sanctions, government regulations, orders, or actions, labor disputes, strikes, lockouts, shortages of supplies or resources, social media platform outages, maintenance, policy changes, API modifications, or deprecations, internet or telecommunications infrastructure failures, power outages, cyberattacks, distributed denial of service (DDoS) attacks, third-party provider failures, outages, or discontinuation of services, or any other event or circumstance beyond the reasonable control of NotPanel, whether or not foreseeable at the time of entering into these Terms. In the event of a force majeure event, affected performance obligations may be suspended for the duration of the event to the extent permitted by law. This does not extend or cancel an automatic refund deadline expressly guaranteed by our Refund Policy.
Severability: If any provision, clause, or portion of these Terms is found to be invalid, illegal, void, or unenforceable by a court of competent jurisdiction or arbitration tribunal, such finding shall not affect, impair, or invalidate the remaining provisions of these Terms, which shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent to the maximum extent permitted by applicable law.
Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, and any other legal notices, policies, or guidelines published on the Platform from time to time, constitute the entire and exclusive agreement between you and NotPanel regarding your use of the Service and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
No Waiver: The failure of NotPanel to exercise or enforce any right, remedy, or provision of these Terms shall not operate as or constitute a waiver of such right, remedy, or provision, nor shall it prevent NotPanel from exercising or enforcing such right, remedy, or provision at any future time. No waiver of any provision of these Terms shall be effective unless made in writing and signed by an authorized representative of NotPanel.
Assignment: NotPanel may freely assign, transfer, delegate, or sublicense its rights and obligations under these Terms, in whole or in part, to any person or entity without notice to you or your consent. You may not assign, transfer, or delegate your rights or obligations under these Terms without the prior written consent of NotPanel. Any attempted assignment in violation of this section shall be null and void.
Class Action Waiver: TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND NOTPANEL EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY IRREVOCABLY AND UNCONDITIONALLY WAIVE ANY RIGHT YOU MAY HAVE TO PARTICIPATE IN OR BE A MEMBER OF ANY CLASS ACTION LAWSUIT, CLASS-WIDE ARBITRATION, OR ANY OTHER CONSOLIDATED OR REPRESENTATIVE PROCEEDING AGAINST NOTPANEL.
Governing Law and Dispute Resolution: These Terms and any disputes arising out of or related to these Terms or your use of the Service shall be governed by and construed in accordance with applicable laws, without regard to conflict of law principles. Any disputes that cannot be resolved amicably shall be submitted to and finally resolved by binding arbitration in accordance with the rules of a recognized international arbitration institution. The arbitration shall be conducted in the English language, and the arbitral award shall be final and binding on both parties.
Headings and Interpretation: The section headings used in these Terms are for convenience of reference only and shall not affect the interpretation or construction of any provision. The words "include," "includes," and "including" shall be deemed to be followed by the words "without limitation." The use of the singular shall include the plural and vice versa, and the use of one gender shall include all genders.
